Terms of Use
Effective date: November 8, 2026
Website: https://digibats.com
Website operator: DigiBats LLC (operating the website as "DigiBats")
Welcome to DigiBats. These Terms of Use ("Terms") govern your access to and use of https://digibats.com and any associated content, features, communications, newsletters, products or services that link to these Terms (collectively, the "Services"). The Services are operated by DigiBats LLC ("DigiBats", "we", "us" or "our").
Please read these Terms carefully. By accessing or using the Services, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not use the Services. Additional terms may apply to specific products, services, orders, promotions or features; if they conflict with these Terms, the additional terms control for the applicable offering.
1. Eligibility
You must be at least 18 years old, or the age of legal majority where you live if higher, to create an account, make purchases or otherwise use features requiring a binding agreement. By using the Services, you represent that you have the legal capacity to agree to these Terms, that information you supply is accurate and lawful, and that your use complies with applicable laws. If you use the Services on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms.
2. Permitted use
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for lawful purposes. Unless we expressly authorise otherwise, you may view and download materials only for your personal or internal informational use, retaining all copyright and proprietary notices. You may not commercially exploit, reproduce, distribute, sell, republish or create derivative works from our content without prior written permission or another valid legal right. Quoting short excerpts with attribution and a link to the source page is permitted.
Nothing in these Terms transfers ownership of the Services or their content to you. Any rights not expressly granted are reserved.
3. Prohibited conduct
You agree not to:
- Violate applicable laws, regulations, third-party rights or these Terms.
- Copy, scrape, harvest, republish, sell or commercially exploit the Services or data from them without authorisation.
- Reverse engineer, decompile, disable, bypass or interfere with any security, access-control or technical measures, except where the law expressly permits.
- Introduce malware, harmful code, automated attacks or any activity that disrupts the Services or other users.
- Attempt unauthorised access to accounts, systems, networks or non-public information.
- Impersonate another person or organisation or provide misleading information.
- Upload or transmit unlawful, infringing, defamatory, fraudulent, abusive, obscene or otherwise prohibited content.
- Use communication features to distribute spam, unsolicited promotions or deceptive messages.
- Collect another user's personal information without a lawful basis and any required consent.
We may investigate suspected violations and restrict or terminate access when reasonably necessary to protect the Services, users or our legal rights.
4. Accounts and security
Certain features (such as the e-mail newsletter) may require registration. You agree to provide accurate, current and complete information and keep it updated. You are responsible for maintaining the confidentiality of any credentials and for activities conducted through your account, except to the extent applicable law provides otherwise. Notify us promptly at info@digibats.com if you suspect unauthorised access or a security breach.
We may suspend, limit or terminate accounts or subscriptions for violations of these Terms, misuse, security concerns or other lawful reasons. You may close your account or unsubscribe at any time using the links we provide or by contacting us.
5. User communications and submissions
The Services may offer comments, forms, uploads or other interactive features. You are responsible for all text, images, files, feedback and other materials you submit ("Submissions"). You represent that you have all rights and permissions needed to submit them and that they do not violate law or third-party rights.
You retain ownership of your Submissions. By submitting content to an area intended for display, sharing or publication, you grant DigiBats a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, adapt for technical formatting, display, distribute and use that content as reasonably necessary to operate, improve and promote the Services. This licence continues for as long as the content remains on the Services and for a reasonable period thereafter for backups, legal compliance or materials already distributed, subject to applicable law. Private communications and personal information are handled as described in our Privacy Policy.
Do not submit confidential, proprietary or sensitive information through public features. We do not undertake to monitor every Submission, but we may review, remove or restrict content that violates these Terms or applicable law. The opinions expressed by users do not necessarily reflect our views.
6. Information and editorial content
Articles, guides, specifications, opinions, downloadable resources and other materials available through the Services are provided for general information unless expressly stated otherwise. We aim to provide useful and accurate information but do not guarantee that every item is complete, current or error-free. Content does not constitute legal, financial, medical, engineering or other professional advice. Power-electronics test equipment involves hazardous voltages and currents: always follow your organisation's safety procedures, the equipment manufacturer's instructions and applicable standards, and obtain qualified advice or independently verify information before relying on it.
We may correct, change, withdraw or update content and features without advance notice, subject to applicable law and any separate contractual commitments.
7. Sponsored content, advertising and events
The Services may contain advertisements, sponsored materials, promotional links, webinars, events or other third-party-supported offerings. Sponsored content is identified as such. Sponsorship does not necessarily constitute our endorsement of the sponsor's products, claims or services.
If you register for a sponsored event, download a sponsored resource or otherwise participate in an activity involving a third party, we will describe any relevant information-sharing practices in the applicable registration notice or Privacy Policy and obtain consent where required. Participation may also be subject to additional third-party terms.
8. Purchases, fees and payment (if applicable)
Some Services may be offered for a fee. Prices, payment schedules, taxes, shipping charges, refund eligibility and any other material conditions will be presented at checkout, in an order confirmation or in separate terms applicable to the purchase. By submitting an order, you agree to pay the disclosed charges and authorise the payment method you provide to be charged in accordance with those terms.
We may use third-party payment processors. Their handling of payment information may be governed by their own terms and privacy notices. If a payment is declined or remains unpaid, we may suspend the affected paid Services after any notice required by law or the applicable agreement. Refunds, returns and cancellations are governed by the terms disclosed at purchase and by applicable consumer-protection law.
9. Subscriptions and automatic renewal (if applicable)
If we offer recurring paid subscriptions, the checkout page will disclose the price, billing frequency, renewal terms and method of cancellation before you subscribe. Where a subscription is identified as automatically renewing and you affirmatively authorise recurring charges, it will renew at the disclosed interval until cancelled, subject to applicable law.
You may cancel future renewals through the method described at signup or by contacting info@digibats.com. Cancellation generally stops future recurring charges and does not automatically refund amounts already billed, except where required by law or stated in the applicable subscription terms. The free e-mail newsletter can be cancelled at any time with the unsubscribe link in every message.
10. Intellectual property
The Services and their original content, design, text, graphics, photographs, software, trademarks, logos, layouts and other materials are owned by DigiBats LLC or its licensors and are protected by applicable intellectual-property laws. You may not remove ownership notices or use our names, trademarks or branding in a way that implies endorsement, affiliation or sponsorship without written permission.
If you believe material on the Services infringes your copyright or other intellectual-property rights, contact info@digibats.com with sufficient information for us to evaluate the concern. We may request additional details and respond in accordance with applicable law.
11. Third-party links and services
The Services may contain links to external websites, applications, offers and services not controlled by DigiBats. Such links are provided for convenience and do not imply endorsement. We are not responsible for third-party content, availability, policies or practices. Your use of third-party services is subject to their applicable terms and privacy notices.
12. Privacy and electronic communications
Our collection, use and disclosure of personal information are described in the Privacy Policy. Please review that policy, along with any cookie or other notices presented on the Services.
By submitting an inquiry, registration or order, you agree that we may communicate with you electronically about the relevant transaction, your account or the Services, as permitted by applicable law. Marketing communications, where offered, are sent only with your consent and include an opt-out link.
13. Availability and changes to Services
We may modify, suspend or discontinue all or part of the Services for maintenance, security, operational or business reasons. We do not guarantee uninterrupted availability, and we are not liable for interruptions to the extent permitted by law. Any rights relating to paid Services remain subject to the terms of purchase and applicable law.
14. Disclaimer of warranties
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES AND ALL INFORMATION AND MATERIALS PROVIDED THROUGH THEM ARE OFFERED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, secure, error-free or free from harmful components, or that any content will meet your specific requirements.
Nothing in these Terms excludes a warranty, guarantee or other right that cannot lawfully be excluded, or overrides an express warranty provided under separate written terms.
15. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIGIBATS LLC AND ITS OWNERS, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATING TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE APPLICABLE SERVICES DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) US $100.
These limitations do not apply where prohibited by law, including to any liability that cannot legally be limited. They do not supersede separate written contracts that expressly establish different liability terms.
16. Indemnification
To the extent permitted by applicable law, you agree to defend, indemnify and hold harmless DigiBats LLC and its affiliates, officers, employees, agents and service providers from third-party claims, losses, damages, liabilities and reasonable legal costs arising from your unlawful use of the Services, your material breach of these Terms or your infringement of a third party's rights. This obligation does not apply to the extent a claim results from our own misconduct or where such indemnification is restricted by law.
17. International access
The Services may be accessible from locations outside the country where DigiBats LLC operates. You are responsible for complying with applicable local laws when accessing or using the Services. Information may be processed in jurisdictions described in our Privacy Policy, subject to applicable data-protection requirements. We do not represent that all Services or materials are available or appropriate in every jurisdiction.
18. Governing law and disputes
Except where mandatory law provides otherwise, these Terms are governed by the laws of the State of California, United States, without regard to conflict-of-law principles. Subject to any mandatory consumer protections or venue requirements, disputes arising under these Terms will be brought in the state and federal courts located in Alameda County, California.
Before filing a formal claim, you are encouraged to contact us at info@digibats.com so we can attempt to resolve the issue informally. Nothing in this section limits rights you cannot waive under applicable law.
19. Changes to these Terms
We may revise these Terms from time to time. The revised version will be posted on the Services with an updated effective date. For material changes, we will provide additional notice where required by law. Your continued use of the Services after revised Terms become effective constitutes acceptance to the extent permitted by law. If you do not agree to revised Terms, you should discontinue use of the Services.
20. General provisions
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain effective, and the affected provision will be applied to the maximum extent lawful. Our failure to enforce a provision is not a waiver. You may not assign your rights or obligations under these Terms without our consent; we may assign them as permitted by law. Provisions concerning intellectual property, Submissions, disclaimers, limitations of liability, indemnification, disputes and other terms that by their nature should survive will remain effective following termination.
These Terms, the Privacy Policy and any applicable additional terms constitute the agreement governing your use of the Services, except where a separate written contract expressly provides otherwise.
